Acceptable use policy

This OneScreen Services Acceptable Use Policy (the "Policy") describes prohibited uses of the services offered by OneScreen Inc. and its affiliates (the "Services") and any OneScreen owned or operated websites used in providing the Services to OneScreen's clients and customers (the "Sites"). The prohibited uses described in this Policy are not exhaustive. OneScreen may modify this Policy from time to time upon written notice. By using any OneScreen Services or Sites, you agree to the latest version of this Policy. OneScreen may suspend or terminate your use of the Services or Sites if you violate this Policy or otherwise authorize or assist any third-party to do so. 1. Prohibited Activities & Content. You agree that you may not use, or encourage, promote, facilitate or instruct others to use, the Services or the Sites for any illegal, harmful or offensive use, or to transmit, store, display, distribute or otherwise make available content that is illegal, harmful, or offensive. Prohibited activities or content include:

(a) Illegal Activities. Any illegal activities, including advertising, transmitting, or otherwise making available gambling sites or services or disseminating, promoting or facilitating child pornography, or otherwise making use of any Services or Sites in violation of applicable law or regulation (e.g. the collection of information from children under the age of 13 without verified parental consent as prohibited by COPPA);

(b) Harmful or Fraudulent Activities. Activities that may be harmful to others, OneScreen's operations or reputation, including offering or disseminating fraudulent goods, services, schemes, or promotions (e.g., make-money-fast schemes, Ponzi and pyramid schemes, phishing, or pharming), or engaging in other deceptive practices;

(c) Infringing Content. Content that infringes or misappropriates the intellectual property or proprietary rights of others;

(d) Offensive Content. Content that is defamatory, obscene, abusive, invasive of privacy, or otherwise reasonably objectionable, including content that is threatening, abusive, harassing, tortious, vulgar, pornographic, hateful, or racially, sexually, ethnically or otherwise offensive; and/or

(e) Harmful Content. Content or other computer technology that may damage, interfere with, surreptitiously intercept, impair or interfere with the functioning or performance of the Sites or Services, or expropriate any system, program, or data, including viruses, Trojan horses, worms, time bombs, or cancelbots.

2. Security Risks & Violations. You may not use the Services to violate the security or integrity of any network, computer or communications system, software application, or network or computing device (each, a "System"), whether those belonging to OneScreen or any user of the Services. Prohibited activities include:

(a) Unauthorized Access. Accessing or using any System without permission, including attempting to probe, scan, or test the vulnerability of a System or to breach any security or authentication measures used by a System, or breaking into or "hacking" any System to gain access to any content or code used by OneScreen or its customers in connection with the Services;

(b) Interception and Collection of Information. Monitoring of data or traffic on a System without permission, or any data or information collection about any user, visitor, participant, or user of any Site, Service and/or System without permission and/or for any unauthorized commercial or unlawful purpose; and/or

(c) Circumvention of Security. Circumventing, disabling, or other interference with any security-related feature of a Site, Service or System, including any features that prevent or restrict the use or copying of any content made available through the Services.

3. Abuse of Sites & Services. You may not use the Sites or Services provided by OneScreen in any manner which disrupts or impairs the operation of any System, the Sites or Services. Such abusive practices include:

(a) Crawling & Mining. Using any site search or retrieval application or other manual or automatic device or process in order to retrieve, index, "data mine", or reproduce or circumvent the navigational structure or presentation of, a Site, any functionality of the Services, or any System, or any content available therein;

(b) Interference. Interfering with the proper functioning or operation of any System, Site, or Service, or restricting or inhibiting any user from using the Site, Services, or any System related thereto;

(c) Avoiding System Restrictions. Using any means to avoid any use limitations placed on a System, Site, or Service, such as storage, access, or delivery restrictions;

(d) Solicitation. Uploading, posting, emailing, or otherwise transmitting or posting links to any unsolicited or unauthorized advertising or promotional materials, except in those areas that may be designated for such purposes and as expressly permitted by the terms of use of any System, Site, or Service;

(e) Content Exploitation. Accessing, downloading, copying, reproducing, distributing, transmitting, broadcasting, selling, licensing, or other exploitation of any content available through any System, Site, or Service, except as otherwise expressly permitted by the terms of use of the applicable licensor or owner of such content, and such action is permitted through functionalities of a OneScreen System, Site, or Service or other explicitly authorized means provided by OneScreen; and/or

(f) Other Unauthorized Use. Using any System, Site, or Service for any purpose outside the scope of the terms of use thereof without first obtaining the prior written approval of OneScreen or any applicable third-party.

4. Monitoring and Enforcement. OneScreen reserves the right (but does not assume the obligation) to investigate any violation of this Policy or any misuse of the Services or Sites. Accordingly, OneScreen may investigate violations of this Policy and misuse of the Services or Sites, and: (a) remove, disable access to, or modify any content or resource that violates this Policy or any other agreement with you for use of the Services or any Site; and/or (b) seek termination of any agreement between you and OneScreen regarding your use of the Services or any Sites. OneScreen may report any activity which it suspects violates this Policy or any law or regulation to the appropriate third parties. Such reporting may include disclosing appropriate customer information and content if OneScreen reasonably believes such disclosure is necessary to comply with court order or other legal process, to enforce the terms of any agreement between OneScreen and its customers, or to otherwise protect the rights, property, or safety of OneScreen and its users. If you become aware of any violation of this Policy, you agree to immediately notify OneScreen and provide us with all reasonable assistance requested to stop or remedy such violation.
